Terms of Use

By creating an account, subscribing to a plan, connecting a repository, or otherwise using RepoKit, you acknowledge that you have read, understood, and agreed to these Terms of Use.

1. Definitions

For these Terms:

  • RepoKit: a SaaS platform for repository analysis, code change intelligence, pull request analysis, living documentation, technical context, and related features.
  • Account: a user or organization access record on the platform.
  • Organization: a legal entity, team, or group using RepoKit through one or more accounts.
  • Connected Repository: a repository linked to RepoKit through an authorized integration.
  • Analysis: any processing, reading, classification, summary, score, suggestion, detection, documentation update proposal, test recommendation, review or deploy recommendation, translation, or similar output generated by RepoKit.
  • AI: artificial intelligence models, automated heuristics, ranking pipelines, classification systems, extraction workflows, generation systems, and reprocessing mechanisms used by RepoKit.
  • Credits: usage units applicable to specific features, according to the subscribed plan, product interface, pricing page, or current operational documentation.
  • Beta or Preview Features: features labeled as alpha, beta, early access, preview, experimental, or equivalent terminology.

2. Service scope

  • RepoKit provides assisted and automated analysis for repositories, commits, branches, pull requests, technical documentation, operational context, and related workflows.
  • The service may include, among other things, repository baseline generation, pull request analysis, re-analysis, test suggestions, documentation update proposals, documentation translation, snapshots, PR comments, status checks, exports, shareable links, and integrations with development tools.
  • RepoKit may offer free plans, trials, paid plans, add-ons, one-off credits, usage caps, and optional features.
  • The exact scope of the subscribed plan, its limits, included features, and usage rules will be the ones displayed on the pricing page, at checkout, in the product dashboard, or in the commercial documentation in force on the date of subscription or renewal.

3. Use of AI in all analyses

  • You acknowledge and agree that RepoKit materially relies on AI and automated processing for virtually all analyses, including prioritization, classification, summarization, fact extraction, risk scoring, test suggestions, impact detection, documentation update proposals, translations, re-analysis, and related outputs.
  • RepoKit may use different models, model versions, AI providers, prompts, heuristics, pipelines, ranking strategies, caches, fallback mechanisms, and equivalent technical combinations to deliver, maintain, or improve the service.
  • RepoKit does not guarantee that any analysis, score, insight, recommendation, summary, translation, classification, suggested patch, or any other automated output will be complete, accurate, unbiased, omission-free, fit for a specific purpose, or capable of replacing human judgment.
  • RepoKit outputs are decision-support tools and do not replace technical review, human review, testing, security validation, change approval, compliance review, staging validation, or internal release criteria.
  • You are solely responsible for reviewing, validating, and deciding whether to rely on any RepoKit output before approving code, merging changes, publishing documentation, running migrations, changing infrastructure, or deploying to any environment.
  • You must not treat RepoKit output as a sole source of truth, final automated decision, or guarantee that there are no bugs, regressions, incidents, security flaws, or documentation inconsistencies.

4. Integrations, permissions, and third parties

  • RepoKit may integrate with Git providers, authentication systems, payment processors, infrastructure providers, observability services, analytics providers, and AI providers.
  • The service may depend, in whole or in part, on third-party services outside RepoKit's control.
  • You authorize RepoKit to access the data and metadata required to provide the service within the scope of the permissions granted through the integrations you enable.
  • Depending on the enabled integration and the settings you choose, RepoKit may read repositories, metadata, diffs, branches, pull requests, comments, pipelines, and other related artifacts, as well as write limited metadata, pull request comments, status checks, or equivalent outputs where such features are enabled.
  • RepoKit may operate in read-only mode by default in certain workflows, but this does not prevent optional write-enabled features from being made available in the future or through specific activation.
  • You are responsible for granting only the permissions you consider appropriate and for reviewing the permissions granted to connected integrations.

5. Account, access, and user responsibility

  • You are responsible for maintaining the confidentiality of your credentials and for all use of your account.
  • If an account represents an organization, you represent that you have authority to accept these Terms on behalf of that organization.
  • You are responsible for all activities carried out through your account, team, members, administrators, and enabled integrations in your environment.
  • You must keep your registration, billing, and administrative contact information accurate and up to date.

6. Submitted data and required rights

  • You represent and warrant that you have all rights, permissions, and legal grounds necessary to connect repositories, submit data, enable analysis, request automated processing, and share content through RepoKit.
  • You remain the owner of your source code, documentation, settings, prompts, tickets, comments, PR descriptions, files, and any other content submitted or accessed with your authorization.
  • You grant RepoKit a limited, non-exclusive license, revocable to the extent operationally feasible and valid during the contractual relationship, to host, copy, process, index, analyze, transform, store, version, display, and generate derivative outputs from the content necessary to provide, secure, improve, and support the service.
  • This license also covers the use of subprocessors and technical providers strictly necessary to operate the platform.

7. Acceptable use rules

You may not:

  • use RepoKit for unlawful, fraudulent, or abusive purposes;
  • infringe the rights of third parties;
  • attempt to gain unauthorized access to accounts, repositories, integrations, systems, or data;
  • circumvent technical limits, quotas, security controls, billing rules, or rate limit mechanisms;
  • use the service to distribute malware, malicious code, illegal content, or material that violates copyrights, trade secrets, or contractual obligations;
  • engage in abusive scraping, abusive benchmarking, improper reverse engineering, or attempts to replicate the service for competitive purposes beyond what is permitted by law;
  • use RepoKit in violation of the rules of the Git provider, payment processor, AI provider, or any other connected third party;
  • rely on RepoKit as an autonomous critical decision system without appropriate human review.

8. Plans, quotas, credits, and usage rules

  • RepoKit plans may include limits per repository, PR analyses, re-analyses, credits, translations, storage, history, exports, shareable links, seats, integrations, or any other consumption component.
  • RepoKit may define specific consumption rules for each feature. Examples include: initial repository analysis, pull request analysis, re-analysis, documentation translation, artifact regeneration, premium features, processing with more expensive models, or specific add-ons.
  • Whenever technically feasible, RepoKit will display, before confirmation of the action, the estimated consumption or the applicable usage rule.
  • The fact that a feature is available in the product does not necessarily mean that it is included at no additional charge in all plans.
  • Credits, quotas, or allowances may expire at the end of the contractual cycle unless expressly stated otherwise.
  • Unless expressly stated otherwise, credits are non-refundable, have no monetary value, are non-transferable, and do not create any right to cash conversion.
  • RepoKit may block, limit, or postpone new analyses once the user's plan, quota, or credits have been exhausted.

9. Prices, future increases, and billing changes

  • RepoKit may change, at any time and with prospective effect, its prices, plans, quotas, consumption components, eligibility criteria, included credits, available features, add-ons, and commercial structure.
  • Such adjustments may occur for reasons including:
    • increased cost of AI models and AI providers;
    • changes in infrastructure, observability, storage, compliance, support, security, or processing costs;
    • exchange rate fluctuations, taxes, or regulatory requirements;
    • the addition, removal, expansion, or discontinuation of features;
    • changes in service level, capacity, limits, or product integration surfaces;
    • revisions to commercial strategy, plan packaging, or fair use policy.
  • Unless otherwise required by law, material price changes or changes to included quotas for active subscribers will be communicated with reasonable prior notice and will apply in the next applicable renewal cycle, not retroactively to an already paid period.
  • If you do not agree with the new price, plan, limit, or commercial structure, you may cancel your subscription before the next renewal.
  • Promotions, beta pricing, launch pricing, temporary discounts, grandfathering, trials, promotional credits, and special conditions may be limited by time, audience, volume, or feature set and may be ended, revised, or not renewed.
  • New features may be launched as separate paid features, add-ons, premium features, credit-based consumption, or components included only in certain plans.

10. Billing, renewal, and non-payment

  • Subscriptions may be billed monthly, annually, or at another interval disclosed at checkout.
  • You authorize the enabled payment processor to charge the recurring amounts applicable to your subscribed plan, as well as any authorized overages, add-ons, or billing adjustments.
  • Plan changes may generate prorated charges, prorated credits, cycle adjustments, or allowance changes, according to the current commercial policy and the billing configuration in use.
  • Non-payment, failed payment, chargebacks, improper disputes, or inability to renew may result in suspension of paid features, usage limitations, plan downgrade, temporary blocking of analyses, or account termination.
  • Taxes, currency charges, banking fees, and applicable fiscal obligations may be added where required.

11. Service changes and no commitment to a specific model

  • RepoKit may, at any time, add, remove, replace, improve, restrict, discontinue, or change features, integrations, interfaces, AI models, providers, workflows, limits, performance criteria, consumption rules, output formats, and technical requirements.
  • RepoKit does not undertake any obligation to maintain any specific AI model, provider, integration, output format, or feature indefinitely, including where change is necessary for security, cost, compliance, stability, availability, product evolution, or technical adequacy.
  • Certain features may depend on regional availability, subscribed plan, technical compatibility, rollout stage, or operational capacity.

12. Beta, preview, and experimental features

  • Beta, preview, alpha, early access, or experimental features may present higher instability, limitation, unavailability, frequent behavior changes, incomplete documentation, or removal without prior notice.
  • Such features may be provided as is, with fewer guarantees and without commitment to continuity, backward compatibility, or full support.

13. Intellectual property

  • RepoKit, its brand, software, interface, design, technical stack, proprietary prompts, pipelines, classifications, methodology, product documentation, and other proprietary elements remain the exclusive property of RepoKit or its licensors.
  • No intellectual property rights are transferred to you, except for the limited license to use the service during the contractual term.
  • You may not copy, sublicense, resell, distribute, modify, mirror, commercially exploit, or create derivative works from RepoKit except as permitted by law or expressly authorized.

14. Privacy, security, and retention

  • Personal data processed by RepoKit will be handled according to the applicable Privacy Policy and, where appropriate, supplementary data protection documents.
  • RepoKit may adopt reasonable technical and organizational measures for security, access control, masking, logical isolation, auditing, and abuse prevention.
  • Even so, no system is entirely immune to failures, outages, incidents, unauthorized access, data loss, processing delays, or third-party events.
  • RepoKit may retain technical logs, audit records, operational metadata, generated outputs, snapshots, and related artifacts for as long as necessary to provide the service, maintain security, support users, prevent fraud, comply with legal obligations, and defend rights.
  • After cancellation or termination, data may remain retained for a reasonable period or as legally required before deletion, anonymization, or permanent de-identification.

15. Sharing, exports, and public or restricted links

  • RepoKit may allow the sharing of analyses, exports, snapshots, documents, comments, links, or related artifacts.
  • You are responsible for evaluating the content you share and for controlling who receives access to links, exports, or outputs generated in your environment.
  • RepoKit is not responsible for disclosure performed by you or by third parties authorized by you.

16. Suspension and termination

RepoKit may suspend, limit, or terminate access to the service, in whole or in part, with or without prior notice, where:

  • these Terms are violated;
  • there is improper, fraudulent, abusive, or security-threatening use;
  • third-party rights are violated;
  • there is non-payment, chargeback, or payment fraud;
  • there is a legal, regulatory, judicial, or authority requirement;
  • maintaining access would represent a relevant technical, operational, legal, or reputational risk to RepoKit, its users, partners, or third parties.

You may also terminate your account or subscription through the flows made available in the product, subject to financial obligations already accrued up to the termination date.

17. Disclaimers and no warranties

  • RepoKit is provided as is and as available.
  • To the maximum extent permitted by law, RepoKit does not guarantee uninterrupted availability, error-free operation, absolute accuracy, fitness for a particular purpose, ongoing compatibility, minimum performance, business results, automatic regulatory compliance, successful deployment, PR approval, perfect documentation updates, or complete detection of risks, bugs, regressions, vulnerabilities, or inconsistencies.
  • RepoKit does not guarantee that any AI-generated recommendation, score, classification, or proposal will accurately reflect the actual state of your code, architecture, operations, or business context.

18. Limitation of liability

  • To the maximum extent permitted by law, RepoKit will not be liable for indirect damages, lost profits, loss of opportunity, loss of revenue, data loss, reputational harm, business interruption, failed releases, production incidents, regressions, third-party outages, or losses arising from use of, over-reliance on, or implementation of automated outputs.
  • RepoKit will also not be liable for acts or omissions of the user, its administrators, employees, authorized third parties, integrated providers, Git platforms, payment processors, AI providers, internet failures, external infrastructure, or force majeure events.
  • To the maximum extent permitted by law, RepoKit's total aggregate liability for any claim related to the service will be limited to the amount actually paid by the user to RepoKit in the 12 months preceding the event giving rise to the claim, without prejudice to lower limits required by law in specific cases.

19. Indemnification

You agree to indemnify and hold RepoKit harmless from losses, damages, costs, expenses, and claims arising out of:

  • violation of these Terms;
  • unlawful, abusive, or unauthorized use of the service;
  • infringement of third-party rights;
  • lack of authorization for connection, processing, or sharing of content;
  • use of RepoKit outputs without adequate human review in critical workflows.

20. Changes to these Terms

  • RepoKit may update these Terms from time to time to reflect legal, technical, operational, commercial, security, or product changes.
  • The current version will be made available through the service's official channels.
  • Where a change is material, RepoKit may provide reasonable prior notice by email, dashboard notice, checkout notice, banner, contractual renewal flow, or another appropriate method.
  • Continued use of the service after the effective date of the new version may constitute acceptance of the updated Terms, without prejudice to your right to end the relationship before a future renewal, where applicable.

21. Governing law and venue

  • These Terms are governed by the laws of the Federative Republic of Brazil.
  • The courts chosen by RepoKit in its contractual documents shall have jurisdiction, or, if not otherwise specified, the courts of the service provider's domicile, subject to any mandatory legal venue rules.
